The Companies (Tables A to F) (Amendment) Regulations 2008

The Secretary of State makes the following Regulations in exercise of the powers conferred by section 8(4)(a) and (c) of the Companies Act 1985(1).

1.  These Regulations may be cited as the Companies (Tables A to F) (Amendment) Regulations 2008 and come into force on 6th April 2008.

2.  Article 8 of Table C in the Companies (Tables A to F) Regulations 1985(2) is amended by inserting the words “or by proxy” after the words “is present in person”.

3.  Article 2 of Table E in the Companies (Tables A to F) Regulations 1985 ceases to have effect.

EXPLANATORY NOTE

(This note is not part of the Regulations)

These Regulations amend the Companies (Tables A to F) Regulations 1985 and apply to a company registered on or after 6th April 2008 which adopts Table C or Table E as articles of association.

Regulation 2 amends article 8 of Table C (which are articles of association of companies limited by guarantee) to reflect the new rights for proxies to vote on a show of hands provided by sections 284(2)(b) and 324(1) of the Companies Act 2006.

Regulation 3 omits article 2 of Table E (which are articles of association of unlimited companies) as it conflicts with section 307(1) of the Companies Act 2006.

An impact assessment has not been produced for these Regulations as no impact on the private or voluntary sectors is foreseen.
